Acceptance of Terms

By accessing or using the Services, you agree to these Terms with the Acua entity identified in your Order Form, quotation, account documentation, or other written agreement (the "Contracting Acua Entity"). Depending on where the Services are sold or delivered, that entity may be Acua (Thailand) Co., Ltd., Acua Co., Ltd. in Japan, or Acua Vietnam Co., Ltd. If a Master Service Agreement or other written agreement applies, it controls to the extent of any conflict with these Terms. If you do not agree, do not use the Services.
These terms apply to all users, including visitors, registered users, and any other persons who access or use our services.

Description of Services

Acua provides AI-powered financial workflow automation services, including but not limited to invoice processing, expense management, corporate card services, and analytics & reporting tools (collectively, the "Services").
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
Some features of the Services use artificial intelligence or machine learning. AI-generated output may be incorrect, incomplete, or inconsistent and should be reviewed by the customer before being relied upon for accounting, tax, compliance, or other decisions. The customer is responsible for reviewing AI-generated output and for any decisions taken based on such output.

Beta and Preview Features

From time to time, Acua may make available features or services that are designated as "beta," "preview," "early access," or similar (collectively, "Beta Features"). Beta Features are provided on an as-is basis for evaluation purposes, may be changed or discontinued at any time without notice, and are not covered by any service-level commitment Acua may offer for generally available Services. Acua may collect additional usage data relating to Beta Features in order to evaluate and improve them.

Account Registration & Security

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We strongly recommend that you enable multi-factor authentication (MFA) on your account where the Services offer it.

User Obligations

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
  • •Use the Services in any way that violates applicable laws or regulations
  • •Attempt to gain unauthorized access to any part of the Services
  • •Interfere with or disrupt the integrity or performance of the Services
  • •Upload or transmit any malicious code, viruses, or harmful content
  • •Use the Services to infringe upon the rights of others
  • Intellectual Property

    All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and technology, are the exclusive property of Acua and are protected by intellectual property laws.
    You may not reproduce, distribute, modify, or create derivative works from any part of the Services without our prior written consent.

    Payment Terms

    Certain Services may require payment of fees. You agree to pay all applicable fees as described on our platform. All fees are non-refundable unless otherwise stated.

    Data & Privacy

    Our Privacy Policy explains how the relevant Acua entity processes personal data. It is a notice and does not itself create consent. Where consent is legally required, Acua requests it separately. Customer-controlled personal data processed through the Services is governed by the Data Processing Addendum.
    You retain ownership of data submitted through the Services. We do not sell Customer Data. We engage Acua affiliates and third-party subprocessors to help deliver the Services; the current list, roles, and processing regions are maintained on our Subprocessors page. Other disclosures occur only on an applicable legal basis, as further described in our Privacy Policy and Data Processing Addendum.

    Limitation of Liability

    To the maximum extent permitted by applicable law, Acua shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.
    Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

    Termination

    We may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.
    You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease, and we may delete your account data in accordance with our data retention policies.

    Changes to Terms

    We reserve the right to update or modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date.
    Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms.

    Force Majeure

    Neither party will be liable for any failure or delay in performance of its obligations under these Terms (other than payment obligations) to the extent such failure or delay is caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, civil unrest, acts of government or regulators, labour disputes, failures of the internet, and outages, security incidents, or failures of third-party cloud or network infrastructure providers.

    Sanctions, Export Control, and Anti-Bribery

    You represent and warrant that you are not on any applicable sanctions or restricted-party list maintained by the United Nations, the European Union, the United Kingdom, the United States (including OFAC), Japan, or other jurisdiction where you access or use the Services, and that you will not use the Services in violation of applicable sanctions, export control, anti-corruption, or anti-money-laundering laws. You will not use the Services to facilitate transactions involving sanctioned persons or jurisdictions. Acua may suspend or terminate access to the Services if continued provision would violate applicable law.

    Governing Law

    Any written agreement with your organization governs applicable law and dispute resolution. If there is no such provision, these Terms are governed by the law of the country in which the Contracting Acua Entity is established: Thailand for Acua Thailand, Japan for Acua Japan, and Vietnam for Acua Vietnam, without regard to conflict-of-laws principles.
    The parties will first attempt in good faith to resolve a dispute within 60 days. Unless a written agreement states otherwise: disputes with Acua Thailand are finally settled by arbitration administered by the Thai Arbitration Institute in Bangkok, in English, before one arbitrator; disputes with Acua Japan are subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance; and disputes with Acua Vietnam are subject to the competent courts of Ho Chi Minh City. Either party may seek urgent interim relief from a competent court.
